We're glad you're here. Padzilly is a technology platform designed to help buyers, lenders, and real estate professionals work together more efficiently throughout the homebuying process.

These Terms of Use explain how Padzilly works, what you can expect from us, and what we expect from users of the Platform. By creating an account, accepting an invitation, clicking an acceptance button, or otherwise using Padzilly, you agree to these Terms.

Padzilly is a brand name and doing-business-as name of Approval IQ, Inc. In these Terms, "Padzilly," "we," "us," and "our" refer to Approval IQ, Inc. d/b/a Padzilly. "You" and "your" refer to the individual or organization using the Platform.

Our Privacy Policy is part of these Terms. Questions may be sent to support@padzilly.com.

1. Creating and Using Your Account

You must be at least eighteen years old and legally able to enter into an agreement to use the Platform. If you are using Padzilly on behalf of a company, lender, brokerage, team, or other organization, you confirm that you are authorized to act for that organization.

You agree to provide accurate, current, and complete account information and to keep it updated. You may not impersonate another person or misrepresent your identity, company, professional role, license status, or authority.

Individual Professional User accounts

To protect the integrity of the Platform and maintain an accurate audit trail, every Professional User must have an individual account in that person's own name.

Professional User accounts may not be shared, transferred, pooled, or used by multiple people. Companies may not create a generic office, branch, department, team, or company-only profile for use by multiple loan officers, mortgage professionals, agents, employees, or contractors.

Each person who uses Professional User features must have a separate authorized account unless Padzilly has expressly provided a different multi-user account structure in writing.

You are responsible for protecting your login credentials and for activity conducted through your account. Please notify us promptly if you believe your account has been accessed without permission.

2. How Padzilly Works

Padzilly provides technology that may connect loan information, property information, home-search tools, estimated payments and cash requirements, offer tools, approval and offer letters, partner portals, and related communications.

Padzilly is not a lender, mortgage broker, loan originator, underwriter, real estate broker, real estate agent, appraiser, title company, insurer, settlement agent, credit reporting agency, or law firm.

Padzilly does not make lending decisions, approve or deny mortgage loans, establish loan terms, issue rate locks, perform property inspections, provide legal or tax advice, or represent any user in a real estate or mortgage transaction.

The originating lender remains responsible for underwriting and lending decisions. Participating real estate professionals remain responsible for real estate advice, offers, contracts, disclosures, negotiations, and brokerage services.

Features may vary by account type, subscription, location, lender, brokerage, property-data source, or device. We may update or change the Platform as it develops.

3. Buyer Responsibilities

Padzilly is designed to help buyers understand how available loan information may apply to properties during a home search. Information shown in Padzilly is intended to support the process, not replace advice from licensed professionals.

Buyers are responsible for providing truthful and current information to participating professionals and for reviewing important information with their lender, loan officer, Agent, attorney, insurance provider, settlement provider, or other appropriate professional.

Information shown in the Platform does not constitute a final loan approval, commitment to lend, rate lock, Loan Estimate, Closing Disclosure, appraisal, legal opinion, tax opinion, or guarantee that a property or financing option will remain available.

A buyer may be invited to Padzilly by a lender, loan officer, agent, or other Professional User. That connection does not make Padzilly a party to the buyer's relationship with that professional.

4. Professional User Responsibilities

This section applies to lenders, mortgage brokers, loan officers, mortgage loan originators, real estate brokers, real estate agents, organization administrators, and other users who access Padzilly for professional or commercial purposes.

Professional authority and compliance

You are responsible for maintaining any licenses, registrations, sponsorships, approvals, appointments, insurance, and authority required for your activities.

You are also responsible for complying with applicable laws, licensing rules, privacy requirements, fair-lending and fair-housing obligations, advertising standards, company policies, investor and agency guidelines, and professional standards.

Authorization to use borrower information

You may submit or access borrower information only when you have a legitimate business purpose and the required permission to do so.

You agree not to upload or use information for a person with whom you do not have an authorized professional relationship. You are responsible for obtaining any borrower, customer, employer, lender, brokerage, or other authorization required by law, contract, or company policy.

Accuracy of loan information

You are responsible for the accuracy and currency of the loan information you provide or approve for use in Padzilly. This may include loan amount, program, interest rate, payment information, available funds, cash requirements, seller contribution assumptions, approval conditions, expiration information, and lender or originator information.

You agree to update or remove information that has become inaccurate, expired, withdrawn, superseded, or no longer reasonably reflects the borrower's qualification status.

AUS-backed approval status

Professional Users are responsible for ensuring that buyers represented as approved in Padzilly have received an acceptable Automated Underwriting System, or AUS, result under the originating lender's requirements, unless the buyer has been intentionally created under another status expressly supported by Padzilly, such as Guest, Registered Guest, or another unapproved status.

You agree not to represent a borrower as approved, enable approval-based functionality, or create the appearance of an approval when the applicable qualification requirement has not been satisfied.

You may not use fabricated, knowingly inaccurate, materially incomplete, inflated, stale, speculative, or placeholder information to create approval-based results or letters.

Padzilly may require an on-screen certification, re-certification, verification, or supporting information. We may also limit features or suspend access if we reasonably believe approval-based functionality is being misused.

Reviewing Platform results

Professional Users must review Padzilly outputs before relying on them, sending them to a consumer or third party, or using them in a transaction.

You are responsible for correcting known errors and for determining whether a Platform result or letter may be used under your company's policies and applicable law.

5. Approval and Offer Letters

Padzilly may prepare, populate, display, or deliver approval letters, offer letters, qualification letters, and similar documents using information supplied, selected, or approved by a Professional User together with available property information.

Padzilly does not independently underwrite or approve the borrower, loan, or property. We do not independently verify the information appearing in a letter and do not guarantee funding or closing.

Any lending representation, approval status, qualification, condition, expiration date, disclaimer, or professional information appearing in a letter remains the responsibility of the originating lender and the Professional User identified in that letter.

Recipients should not interpret a Padzilly-generated letter as an independent credit decision, certification, warranty, or guarantee by Padzilly.

Letters may remain subject to verification, underwriting, appraisal, title review, insurance availability, property eligibility, acceptable documentation, changes in borrower circumstances, lender requirements, and other stated or applicable conditions.

Professional Users are responsible for ensuring that their name, company, licensing information, contact information, branding, disclosures, and letter content are accurate and authorized.

6. Property Information and Calculations

Property information may come from multiple listing services, brokers, public records, data vendors, users, or other third parties. That information may be delayed, incomplete, inaccurate, unavailable, or later changed.

Padzilly does not independently inspect properties or guarantee property descriptions, listing status, availability, taxes, assessments, insurance, homeowners association charges, flood information, concessions, seller contributions, or other listing information.

Payment, cash-to-close, reserve, mortgage-insurance, tax, insurance, closing-cost, seller contribution, rate-reduction, offer, and qualification results are estimates based on available information and assumptions.

Actual amounts may differ because of verified borrower information, lender requirements, property characteristics, timing, rate changes, insurance quotes, title charges, escrows, prorations, credits, fees, assessments, underwriting conditions, or other factors.

Material information should be independently verified with the appropriate lender, loan officer, real estate professional, insurer, settlement provider, government authority, homeowners association, or other responsible source.

7. Uploaded Documents and User Content

You retain ownership of information, documents, data, images, text, and other content you lawfully submit to Padzilly.

You give Padzilly permission to host, transmit, process, format, and use that content as reasonably necessary to provide, secure, support, improve, and operate the Platform, comply with law, and enforce these Terms.

You confirm that you have the right and permission to submit the information you provide and to allow Padzilly to process it for the intended use of the Platform.

How we handle uploaded documents

When supported documents are uploaded for automated processing, Padzilly may temporarily receive and process those documents to identify the document type and extract information used by the Platform.

Uploaded documents are encrypted in transit and permanently deleted after processing. Padzilly does not retain document images, Social Security numbers, dates of birth, or government-issued identification numbers received through this document-processing workflow.

Padzilly may retain other information needed to provide the Platform, including names, contact information, property information, loan parameters, account records, consent records, audit logs, transaction-related records, and information used to create letters, communicate with users, administer accounts, provide support, and improve the Platform.

8. Communicating With You

Padzilly uses email, SMS or text messages, in-app notifications, push notifications, and telephone communications to help buyers and Professional Users stay informed about activity on the Platform.

By creating an account, accepting an invitation, providing an email address or telephone number, or using Padzilly, you agree to receive communications related to:

Professional Users understand that activity alerts are an important part of Padzilly and may include updates about buyer registration, engagement, saved homes, property activity, offer activity, document status, approval status, and related account activity.

Padzilly may also send product news, educational materials, event information, and promotional communications where permitted by law.

Message frequency varies. Message and data rates may apply. You may manage available notification preferences in your account settings, use the unsubscribe link in an email, or reply STOP to an SMS message to opt out of messages sent through that SMS program. You may receive a confirmation of your request.

Opting out of promotional messages does not prevent Padzilly from sending communications that are reasonably necessary for account administration, security, authentication, billing, legal notices, requested services, or active transactions.

You confirm that you are the subscriber or customary user of any telephone number you provide and that you are authorized to receive communications at that number. Please update your account promptly if your number changes or is reassigned.

You also consent to receive agreements, disclosures, notices, confirmations, and records electronically. Electronic communications may satisfy legal requirements that a communication be in writing where permitted by law.

9. Subscriptions and Billing

Certain Padzilly features require payment, a subscription, or acceptance of additional order terms.

You agree to provide accurate billing information and to pay applicable charges and taxes. Unless otherwise stated in an applicable offer or required by law, subscription fees are billed in advance and are non-refundable.

Subscriptions may renew automatically for additional billing periods until canceled using the available cancellation method. Cancellation prevents future renewal but does not retroactively refund the current billing period.

Padzilly may update pricing or plan features prospectively with reasonable notice.

If payment is declined, reversed, disputed, overdue, or otherwise not received, we may suspend paid features or terminate the applicable subscription.

10. Acceptable Use

We want Padzilly to remain accurate, secure, and useful for everyone. You agree not to:

We may investigate suspected misuse and may preserve or disclose relevant information when reasonably necessary to protect users, secure the Platform, enforce these Terms, prevent fraud, comply with legal process, or meet legal obligations.

11. Ownership and Feedback

Padzilly and its licensors own the Platform and related software, designs, workflows, interfaces, calculations, business methods, databases, text, graphics, logos, trademarks, documentation, inventions, patents, patent applications, trade secrets, and other intellectual property.

Subject to these Terms and payment of applicable fees, Padzilly gives you a limited, revocable, non-exclusive, non-transferable, and non-sublicensable right to use the Platform for its intended purpose.

No ownership interest in Padzilly is transferred to you.

If you provide ideas, suggestions, comments, or other feedback, Padzilly may use and incorporate that feedback without compensation or obligation to you.

12. Third-Party Services

Padzilly may link to, integrate with, or rely on third-party websites, applications, lenders, brokerages, multiple listing services, data providers, mapping services, payment processors, communications providers, document processors, and other service providers.

Padzilly does not control and is not responsible for third-party content, availability, accuracy, security, policies, products, services, or conduct.

Your use of a third-party service may be subject to separate terms and privacy policies. A link, logo, integration, or reference does not necessarily mean Padzilly endorses that third party.

13. Suspension and Termination

You may stop using Padzilly at any time.

Padzilly may suspend, limit, or terminate access when we reasonably believe that a user has:

We may also remove content, restrict features, or invalidate letters when appropriate to protect the integrity of the Platform.

Sections that should reasonably continue after termination, including ownership, payment obligations, disclaimers, limitations of liability, indemnity, dispute resolution, and general terms, will remain in effect.

14. Disclaimers and Liability

The Platform is provided as available

Padzilly is provided on an "as is" and "as available" basis to the extent permitted by law.

We do not promise that the Platform, property data, loan data, estimates, calculations, letters, communications, integrations, or other outputs will always be complete, current, uninterrupted, error-free, secure, suitable for a particular transaction, or accepted by any lender, seller, professional, regulator, investor, agency, or other person.

You remain responsible for independent review and verification before relying on information or using it in a transaction.

Limits on liability

To the extent permitted by law, Padzilly and its affiliates, officers, directors, employees, contractors, licensors, service providers, and representatives will not be responsible for indirect, incidental, special, consequential, exemplary, punitive, or enhanced damages, or for lost profits, revenue, goodwill, business opportunities, data, or savings.

This includes losses arising from failed or delayed closings, financing decisions, property information, loan information, calculations, estimates, letters, communications, third-party services, unauthorized access, or interruptions of the Platform.

To the extent permitted by law, Padzilly's total liability arising from or related to the Platform or these Terms will not exceed the greater of one hundred dollars or the amount you paid directly to Padzilly during the twelve months before the event giving rise to the claim.

Some jurisdictions do not allow certain exclusions or limitations. In those jurisdictions, liability will be limited to the maximum extent permitted by law.

Disputes with other users or professionals

Padzilly is not required to become involved in disputes between buyers, lenders, loan officers, brokers, agents, sellers, data providers, or other third parties.

Indemnity

You agree to protect and reimburse Padzilly and its affiliates, officers, directors, employees, contractors, licensors, service providers, successors, and assigns from claims, losses, liabilities, damages, judgments, penalties, costs, and reasonable legal fees arising from:

Padzilly may take control of the defense of a covered claim, and you agree to cooperate reasonably with that defense.

15. Resolving Disputes

These Terms include an agreement to resolve most disputes through binding individual arbitration rather than in court. This section also includes a class action waiver.

Informal resolution first

Before beginning arbitration or litigation, the complaining party must send written notice describing the dispute and the requested resolution.

Notices to Padzilly should be emailed to support@padzilly.com with the subject line "Legal Dispute Notice." The parties will attempt in good faith to resolve the matter for at least thirty days after the notice is received.

Individual arbitration

Except for the limited matters described below, disputes arising from or related to these Terms, the Platform, communications, transactions, or the relationship between you and Padzilly will be resolved through final and binding individual arbitration administered by JAMS under its applicable rules.

The Federal Arbitration Act governs this section.

The arbitrator may decide questions about the interpretation, enforceability, and formation of these Terms and may award individual relief that would otherwise be available in court.

No class or representative proceedings

You and Padzilly agree to bring claims only in an individual capacity and not as a plaintiff, claimant, or class member in a class, collective, consolidated, coordinated, mass, private-attorney-general, or representative proceeding.

You and Padzilly also waive the right to a jury trial.

Limited exceptions

Either party may bring an individual claim in small claims court if the claim qualifies.

Either party may also seek temporary or preliminary court relief to prevent actual or threatened infringement, misuse, theft, or violation of intellectual property, confidentiality, privacy, or data-security rights.

Thirty-day arbitration opt out

You may opt out of this arbitration agreement by emailing support@padzilly.com within thirty days after you first accept these Terms.

The subject line must state "ARBITRATION OPT OUT." Your message must include your name, account email address, and a clear statement that you are opting out of the arbitration agreement.

Opting out of arbitration does not opt you out of any other part of these Terms.

16. General Terms

Updates to these Terms

We may update these Terms from time to time. Updated Terms will be posted through the Platform or on the page where these Terms appear.

Unless a different effective date is stated, changes apply prospectively when posted. Continued use of Padzilly after updated Terms become effective means you accept the updated Terms.

Governing law

Except where federal law applies or applicable law requires otherwise, these Terms are governed by the laws of the State of California, without regard to conflict-of-law rules.

For disputes not subject to arbitration, the parties consent to jurisdiction and venue in the state or federal courts located in San Francisco County, California.

Legal compliance and disclosure

Padzilly may access, preserve, and disclose information when reasonably necessary to comply with law or legal process, enforce these Terms, investigate fraud or security matters, protect users or the public, or respond to lawful requests.

Events beyond our control

Padzilly is not responsible for delays or failures caused by events beyond our reasonable control, including natural disasters, severe weather, war, terrorism, civil disturbance, labor disputes, government action, internet or utility failures, cyberattacks, third-party outages, or interruptions involving hosting, communications, or data providers.

Assignment

You may not assign or transfer these Terms or your account without Padzilly's written consent.

Padzilly may assign these Terms in connection with a merger, acquisition, financing, reorganization, sale of assets, change of control, or operation of law.

No agency relationship

These Terms do not create an employment, agency, partnership, joint venture, franchise, fiduciary, brokerage, lender-borrower, or representative relationship between you and Padzilly.

Waiver and severability

If Padzilly does not enforce a provision immediately, that does not waive our right to enforce it later.

If any provision is found invalid or unenforceable, it will be limited or adjusted only as much as necessary, and the remaining provisions will continue in effect.

Entire agreement

These Terms, the Privacy Policy, applicable order terms, and any additional written terms expressly accepted by you make up the entire agreement between you and Padzilly concerning the Platform.

Electronic acceptance

Your electronic acceptance has the same effect as a handwritten signature.

Time limit for claims

To the extent permitted by law, any claim arising from or related to these Terms or the Platform must be brought within one year after the claim arose.
